That step, called a resale registration, means investors who received privately issued shares in a deal are no longer locked out of public trading in those securities. Ondas Inc. (Nasdaq: ONDS) completed that step on July 24, 2026, filing a prospectus supplement to cover 2,583 shares of its common stock for resale by stockholders who received those shares in connection with its purchase of World View Enterprises Inc.

Where the shares came from

The 2,583 shares trace back to Ondas's acquisition of World View Enterprises Inc., a Delaware corporation, first disclosed on April 1, 2026. The shares carry a par value of $0.0001 per share. According to the 8-K filing, the shares were issued under Regulation D, a Securities and Exchange Commission rule that allows a company to issue stock to specific private investors without going through the full registration process a public offering requires.

The trade-off for that speed and simplicity: the recipients cannot freely sell those shares to anyone else until the issuer files a separate registration statement with the SEC. That is what the July 24 filing accomplishes.

What the filing actually does

The prospectus supplement attaches to Ondas's existing shelf registration statement, Form S-3ASR (File No. 333-290121), which was already effective with the SEC. A shelf registration is a standing authorization: a company files it once and can then register batches of securities in pieces over time. The July 24 supplement adds these 2,583 shares to that shelf, formally clearing them for resale.

Ondas's Nevada counsel, Snell & Wilmer L.L.P., provided the legal opinion on the legality of the shares, attached as Exhibit 5.1. Chief Executive Officer Eric A. Brock signed the report on behalf of the company, which is headquartered at 222 Lakeview Avenue, Suite 800, West Palm Beach, Florida.

What the filing does not say

The 8-K is a mechanics filing. It does not say whether the stockholders who hold these 2,583 shares plan to sell, or when. For deal terms, the controlling disclosure remains the April 1, 2026 filing, when Ondas first announced the World View Enterprises acquisition.
